Terms and Conditions of Purchase and Service Use
WE DO NOT PROVIDE EMERGENCY SERVICES.

These Terms and Conditions of Purchase and Service Use (these “Terms”) are a legally binding agreement between you (“you”, “your”) and RESCUE ID (“RESCUE ID”, “we”, “us”, “our”). These Terms govern your:
We collectively refer to the above as our “Services”.
Note for Enterprise Customers (Businesses & Government Agencies): If you are a business (e.g., employer, school, living facility, etc.) or a government agency (e.g., police or fire department, EMS, public works, etc.), the products and services we provide to you are governed by these Terms unless a separate negotiated agreement (that governs in lieu of these Terms) is signed by you and us. By agreeing to these Terms, you represent and warrant to us that: you have full authority to enter into these Terms on behalf of your organization, agency, or other legal entity; your agreement to these Terms have been duly authorized by your organization, agency, or other legal entity; and these Terms constitute the legal, valid, and binding obligation between us and your organization, agency, or other legal entity, enforceable in accordance with its terms. In this case, references in these Terms to “you” and “your” refers to your organization, agency, or other legal entity.
BY ACCESSING AND USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE OUR SERVICES.
As long as you comply with these Terms and, if applicable, pay the fees owed for your Products and Subscriptions, we grant you a non-exclusive, non-transferable, revocable, limited authorization to access and use the Services solely for your own personal purposes, including, for First Responders, to assist them in responding to emergency situations involving, or rendering aid to, the Emergency Profile owner.
Our Services are intended to assist First Responders in emergency situations, but do not provide a medical, dispatch, or emergency response system. We also do not provide a guaranteed safety solution.
The Services may not be available at all times or under all conditions. Without limiting the previous sentence, you agree: (a) we do not guarantee anyone, including First Responders, will find or access your Product or Emergency Profile; (b) access to your Product or Emergency Profile depends on various conditions, such as visibility, connectivity, and training; (c) First Responders may rely on or disregard the existence of, or the information in, your Emergency Profile at their discretion; and (d) features, such as alerts, may not transmit or may be modified or disabled during mass-casualty or high-risk events.
From time-to-time, we make changes to the Services at our sole discretion, including to: make updates or correct any errors or defects; apply patches and fixes; add new features or functionalities; replace or maintain the infrastructure supporting the Services; change the locations where Services are performed (including data storage locations); or engage or change subcontractors who perform or support the Services. These changes may cause the Services to be unavailable, and you will not be reimbursed for such unavailability. We may charge additional fees for new services, features, or other functionality. Your use of the Services after any change constitutes your acceptance of such change.
We may provide integrations with or links to third-party websites or other services which may include third-party advertising, products, services, or other content or materials (collectively, “Third-Party Services”). We do not endorse and we have no control over Third-Party Services. Accordingly, you agree we are not liable for any damage or loss in connection with your access to, use of, or reliance on Third-Party Services.
Our Services may only be used by individuals who are at least 18 years old (“Adults”). Our Services are not directed at minors under the age of 18 (“Minors”), including children under the age of 13 (“Children”).
We do not knowingly collect information directly from Minors or Children. Adults may add subordinate members under their account (“Account Members”), each with an Emergency Profile. Those Account Members may relate to Minors or Children (provided you have the requisite permissions); however, no Minors or Children may directly use the Services and only Adults may populate and maintain the Minor’s or Child’s account (and associated profiles). If you wish to delete any information of a Minor or Child, you can delete their account or profile through the Services (or contact us at the email below for assistance).
All rights not expressly granted to you in these Terms are reserved by us. You agree that you and your Account Members shall not access or use the Services except as expressly permitted in these Terms. Without limiting the previous sentence, you and your Account Members shall at all times comply with the Acceptable Use Policy (https://www.rescueid.com/acceptable-use-policy).
If you are First Responder, you agree that: (a) our Services and Emergency Profiles provide only the information directed by the owner of that profile, which may be incorrect, outdated, or incomplete; (b) any reliance upon the information in an Emergency Profile is at your own discretion, and does not replace the need for your own expertise or professional judgement; (c) you or your organization/agency are solely responsible for training and operational integrations related to the access to, use of, and evaluation of the information in our Products or an Emergency Profile; (d) you have the consent of the Emergency Profile owner (or, in an emergency where it cannot be obtained, a reasonable person would believe that consent would be granted if it could be given) to scan their Product or access their Emergency Profile; and (e) our Services are not a certified emergency system.
If you are a First Responder, then, to the furthest extent allowed by law, you shall defend, indemnify, and hold harmless RESCUE ID (including its members, managers, officers, directors, employees, and agents) from any action and omission related to: (a) your access to, use of, or reliance upon an Emergency Profile or any information contained in it; and (b) your interactions with an individual, including your provision of emergency, medical, or similar aid to that individual.
You are solely responsible for all sensitive, personal, or other information you and your Account Members provide to us (“User Data”), including: (a) that you have the right to provide us with that User Data; (b) for the use of that User Data (whether within or outside of the Services); (c) for the integrity, accuracy, completion, and other aspects of that User Data; and (d) for ensuring designated contacts are current and reachable. The Services do not serve as the source of record for any User Data, and do not replace the need for you to maintain your own copies, including originals, outside of the Services.
You acknowledge that we will collect, use, share, and otherwise process your and your Account Members’ personal information in accordance with our Privacy Notice (https://www.rescueid.com/privacy) and any other notices we may send or make available to you from time-to-time.
By populating and otherwise maintaining an Emergency Profile, you direct us and consent for us to store, host, and publicly publish your and your Account Members’ Emergency Profiles, including all sensitive, personal, or other information included in those profiles. You further direct us and consent for us to make your and your Account Members’ Emergency Profiles (and all sensitive, personal, or other information included in those profiles) accessible by (a) anyone with whom you share it or (b) anyone with access to the unique URL or QR code that links to such profiles, whether or not authorized by you.
You acknowledge the nature of our Services are such that each Emergency Profile (and all sensitive, personal, or other information included in it) cannot be encrypted or password protected as that would defeat the intended purpose of our Services, which means there is a risk that unauthorized parties can gain access to without your permission or knowledge. You acknowledge that this also includes access by law enforcement or other government agencies. Therefore, you agree to accept the risk that each Emergency Profile (and all sensitive, personal, or other information included in it) is publicly accessible on the internet and can be accessed by anyone, including by unauthorized third parties.
You are in control of the information included in your or your Account Members’ Emergency Profiles. If there is any sensitive, personal, or other information that you or your Account Members do not want to be made publicly accessible as described herein, then you agree not to input, upload, submit, or otherwise include that information in any Emergency Profile.
RESCUE ID offers an optional SMS (text) message notification program. When you enable SMS notifications in your account settings, RESCUE ID sends an automated SMS message alert to you and to your designated emergency contact(s) whenever your or your Account Members’ Emergency Profiles are accessed (for example, when your physical ID card’s QR code is scanned). By adding your mobile number (and enabling SMS notifications), you consent to receive these SMS messages from us. And, by adding an emergency contact’s mobile number, you confirm you have that person’s consent for them to receive these alerts.
Please note that:
By using our Services, you acknowledge that transmissions over the internet are never completely private or secure, and that any message or information you send to us or through the Services may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted. As further outlined in Section 6 above, you also acknowledge that the nature of our Services are such that an Emergency Profile (and information contained in it) cannot be encrypted or password protected as that would defeat the intended purpose of our Services.
Portions of our Services require you to register an account (including setting up a username and password), and you are solely responsible for using a unique username/password combination and for maintaining the confidentiality of your login credentials, including your password. Notify us immediately of any unauthorized use of your account or any other breach of security.
You are also solely responsible and liable for all activity that occurs under your account, including as a result of failing to keep this information confidential. We are not liable for any loss or damage arising from your failure to comply with your obligations under these Terms.
The terms and conditions of this Section apply only to Products you purchase from us:
We sell and ship Products to end-user customers only, and reserve the right to cancel your order if we suspect you are purchasing Products for resale. We only accept orders from, and ship to, U.S. addresses.
Full payment is due at the time of your order. Prices shown are in U.S. dollars and, if you pay with an international card or monies, the price may fluctuate with exchange rates or your card issuer may charge foreign conversion fees. Prices shown do not include, and you are required to pay, any sales or other taxes levied on your purchases as well as any other chargeable expenses (like shipping and handling costs).
Once received by us, we strive to provide you with an order confirmation at the email you provided; however, we are only confirming we received your order and does not signify our acceptance of your order or confirmation of our offer to sell. We may also require additional qualifying information prior to processing your order. We reserve the right to accept or decline your order at any time for any reason. We may also cancel your order or limit order quantity at any time.
We also reserve the right to change any prices for any Products at any time, and to correct inadvertent pricing errors. We may also make changes to any Products offered or limit the type, number, or quantity of Products available, even after you place an order.
If we cancel or cannot fulfill an order after you made payment, we will refund the relevant amount you paid.
All shipping and delivery dates are estimates only and timely deliveries are outside of our control; and we are not liable for late deliveries. Title in a Product and the risk of loss of, or damage to, that Product passes to you when that Product is picked up by the carrier from our designated locations.
When a Product is purchased, they may be manufactured with a unique URL/QR code and other information that is meant to be unique to you; therefore, none of our Products are eligible for returns for refunds, except for a warranty claim for a defective Product as described below.
We warrant to you, for a period of one (1) year from delivery date (the “Warranty Period”), the Product will be free from the following types of defects in materials and workmanship under normal and intended use: (a) misprinting (including illegible, missing, or incorrectly printed text and graphics) on the face of the card or device; (b) a non-functional or unreadable QR code that prevents scanning under normal conditions; (c) a non-functional activation code that prevents registration or linking to an account/profile; or (d) defects (including delamination, cracking, or structural failure of the card) directly arising from manufacturing and not from use, misuse, or ordinary wear and tear.
The above limited warranty does not cover, and we disclaim liability for, defects, damage, or failures arising from or related to: (i) ordinary wear and tear (including fading, scratching, or deterioration resulting from ordinary handling and use); (ii) cosmetic defects (including minor color variations or surface imperfections) that do not affect the functionality or readability of the Product; (iii) an accident, misuse, abuse (including by physical force, bending, cutting, puncturing, or any other mechanical stress not consistent with intended use), neglect, or unauthorized modification or alteration; (iv) exposure to extreme temperatures, moisture, chemicals, solvents, or other environmental conditions outside of normal use; (v) attempts to remove, replace, alter, or modify any printed information (including the activation or QR code); (vi) repairs, modifications, or tampering by anyone other than us; (vii) Products from resellers or other channels not authorized by us; (viii) failure of the activation or QR code, or linked URL, due to connectivity issues, third-party platform outages, or discontinuation of associated online services (including cancellation of your Subscription); (ix) inaccurate, outdated, or incomplete information on the Product resulting from information you provided to us at the time of order; (x) any loss, theft, or destruction of the Product; or (xi) Products for which the Warranty Period has expired.
To make a warranty claim, you must: (a) contact us at info@rescueid.com within the Warranty Period; (b) provide proof of purchase (e.g., order confirmation or receipt); (c) describe the defect in reasonable detail; and (d) if requested, return the defective Product to us in its original condition with all included parts, accessories, and packaging. We reserve the right to inspect the returned Product before approving any warranty claim. If a warranty claim is approved, we will, at our sole election, either: replace the defective Product; or issue a refund of amount you paid for the defective Product. Replacement or refund will be processed within ten (10) business days of claim approval. Shipping costs for returning a defective Product to us will be borne by you unless we determine otherwise in our sole discretion.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE LIMITED WARRANTY SET FORTH IN THIS SECTION 8 IS THE SOLE AND EXCLUSIVE WARRANTY PROVIDED BY US FOR ANY PRODUCT. WE EXPRESSLY DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, QUALITY, PERFORMANCE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
For Subscriptions, you must pay all fees for each Subscription and other amounts charged to you (including taxes levied on your Subscription) at the beginning of each Subscription period. Fees shown are in U.S. dollars and, if you pay with an international card or monies, the price may fluctuate with exchange rates or your card issuer may charge foreign conversion fees.
When you purchase a Subscription, your Subscription period is initially for a one (1) year period and, thereafter, your Subscription auto-renews for additional one (1) year periods until cancelled or terminated by you or us. We will send you a reminder notice prior to your renewal, and you agree we may charge you on each yearly anniversary of your Subscription (unless cancelled). You may cancel your Subscription at any time by accessing your account on our Services; however, this only means your Subscription will not renew and no refunds will be issued for any amounts you already paid for your current Subscription.
If you fail to make any payment when due (including if your selected payment fails to process), we may, but shall not be obligated to: immediately suspend your accounts and any Services being provided to you; and, if such failure to pay continues for 10 days, permanently delete your accounts (including any Emergency Profiles and QR codes/URLs linked thereto). We are not liable to you or anyone else as a result of such suspension, deletion, or termination.
RESCUE ID owns all rights, title, and interest in the Services (including related to any patent, copyright, trademark/service mark, trade dress, trade secret, rights in technology, know-how, or content, and any other intellectual property included with, embedded in, or underlying the Services). RESCUE ID does not transfer or assign to you or your Account Members any intellectual property rights in the Services. You agree not to assert any claims or otherwise do anything inconsistent with the allocation of ownership herein.
As between you and us, you own all rights, title, and interest in the User Data and you grant to us (and our subcontractors) all permissions in your and your Account Members’ User Data to provide our Services and operate our business, including to improve and develop new products and services (including to train or test artificial intelligence and other programs), to enforce these Terms, or to exercise our rights hereunder. You represent and warrant you have obtained all consents, and provided all notices, necessary to transfer the User Data to us and our subcontractors for use in accordance with these Terms and our Privacy Notice.
You or your Account Members may provide us with suggestions, comments, or other feedback about the Services or our business (“Feedback”). You grant us a perpetual, irrevocable, royalty-free, worldwide license to copy, modify, create derivative works from, publicly display, disclose, distribute, license, and otherwise use or exploit the Feedback for any purpose with no obligation to you or Account Members. If you agree to provide us a testimonial or our review about our Services or our business, you also grant us authorization to use it along with your name, photograph, or other indicia on our Sites or other promotional or marketing materials with no payment of any kind.
You may terminate your and your Account Members’ account(s) at any time.
We may, with or without notice, terminate your or your Account Members’ access (and block future access) to the Services for cause, including: (a) if we determine in our sole discretion that you or they have violated these Terms or a law, in which such violation constitutes an unlawful and unfair business practice that will cause irreparable harm to us for which monetary damages would be inadequate and, accordingly, we may seek any injunctive or equitable relief we deem necessary or appropriate (in addition to any other remedies available to us); (b) to fulfill or comply with requests by law enforcement or other government agencies, (c) to fulfill or comply with a request by you (such as self-initiated account deletions), (c) due to a discontinuance or material modification of our Services, or (d) due to unexpected technical issues or problems, or (e) if we become insolvent or generally unable to pay debts as they become due, or if we become subject to any proceeding under domestic or foreign bankruptcy or insolvency law. We will not be liable to you or a third party for any termination for cause.
Despite any termination or expiration of these Terms, you remain responsible for paying all amounts owed under these Terms (including for your Products and current Subscription period) and no refunds will be issued. Additionally, upon termination or expiration hereof, all authorizations granted to you and your Account Members immediately terminate, we may disable your and your Account Members’ accounts and access to the Services (including deleting or deactivating any Emergency Profiles and QR codes/URLs linked thereto) and delete all User Data from our production systems within 30 days (unless a law or data retention requirement requires us to retain such data for a longer period). Any right or obligation that, by its nature, should survive termination (for any reason) or expiration of these Terms will so survive.
ANY USE OF OUR PRODUCTS, THE SITES, AND ALL OTHER SERVICES (INCLUDING STORAGE OF USER DATA) IS AT YOUR OWN RISK. EXCEPT FOR THE LIMITED PRODUCT WARRANTY EXPRESSLY STATED IN SECTION 8, OUR PRODUCTS, THE SITES, AND ALL OTHER SERVICES (INCLUDING STORAGE OF USER DATA) ARE PROVIDED “AS IS”, “AS AVAILABLE”, AND WITH ALL FAULTS. WE DO NOT MAKE AND DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHER. WE SPECIFICALLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, QUALITY, PERFORMANCE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY OUR PRODUCTS, THE SITES, AND ALL OTHER SERVICES (INCLUDING STORAGE OF USER DATA), OR ANY RESULTS OF THE USE THEREOF, WILL MEET ANY PERSON’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE WITH ANY SOFTWARE OR DEVICE, OR BE SECURE, ACCURATE, RELIABLE, COMPLETE, ERROR-FREE, OR FREE OF HARMFUL CODE. WE WILL NOT BE LIABLE FOR ANY RELIANCE UPON OR OUTCOME RESULTING FROM INACCURATE, INCORRECT, OUTDATED, OR INCOMPLETE USER DATA, FAILURE TO UPDATE YOUR USER DATA, OR MISINTERPRETATION OF YOUR USER DATA BY ANYONE ACCESSING YOUR PROFILE, INCLUDING FIRST RESPONDERS.
NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US, OUR REPRESENTATIVES, OUR AGENTS, OR OUR EMPLOYEES WILL CREATE A WARRANTY AND YOU MAY NOT RELY ON ANY SUCH INFORMATION OR ADVICE.
The exclusion or limitation of warranties in our Terms apply to the fullest extent permitted by applicable law, but some states do not allow the exclusion or limitation of warranties in consumer transactions; therefore, some of the exclusions or limitations of warranties herein may not apply to you and you may have additional warranty rights under applicable law. In such states, the duration of any warranty imposed by law is limited to the Warranty Period defined in Section 8, to the fullest extent permitted by law.
To the fullest extent permitted by law, you agree that you shall defend, indemnify, and hold harmless RESCUE ID (including its shareholders, members, managers, officers, directors, employees, agents, affiliates, licensors, subcontractors, distributors, successors, and assigns) from any liability, damages, payment, judgement or award, fine or penalty, or attorney’s fees and other litigation expenses incurred by RESCUE ID in connection with any claim, suit, action, or other proceeding in connection with: (a) your or your Account Members’ actions or omissions, including the misuse of the Services, violation of these Terms, violation of a law, or your or their technology used to access or use the Services; (b) the User Data, including the content, completeness, and accuracy of User Data, and the collection, storage, hosting, use, sharing, or any other processing of User Data by or on behalf of a RESCUE ID; (c) the access to, use of, or reliance upon User Data by any person or entity, including by First Responders; and (d) any medical, emergency, or other similar situations involving you or your Account Members, including any medical outcomes or emergency response delays of such incidents.
Your duty to defend, indemnify, and hold harmless RESCUE ID extends to any loss or proceeding alleged to be caused in part by the negligence of RESCUE ID, to the fullest extent that such indemnification is permitted by applicable law.
IN NO EVENT SHALL RESCUE ID (INCLUDING ITS SHAREHOLDERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SUBCONTRACTORS, DISTRIBUTORS, SUCCESSORS, AND ASSIGNS) BE LIABLE TO YOU OR ANY OTHER PERSON UNDER OR IN CONNECTION WITH THESE TERMS OR ITS SUBJECT MATTER, UNDER ANY LEGAL OR EQUITABLE THEORY (INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE), FOR ANY: (A) LOSS OF PRODUCTION, USE, BUSINESS, REVENUE, PROFIT, SAVINGS, TECHNOLOGY, GOODWILL, RIGHTS, OR VALUE; (B) COST OF REPLACEMENT GOODS OR SERVICES; (C) IMPAIRMENT, INABILITY TO USE, OR LOSS, INTERRUPTION, OR DELAY OF THE SERVICES; (D) LOSS, DAMAGE, CORRUPTION, OR RECOVERY OF DATA, OR BREACH OF DATA OR SYSTEM SECURITY, OR (E) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, IN NO EVENT SHALL THE COLLECTIVE AGGREGATE LIABILITY OF RESCUE ID (INCLUDING ITS SHAREHOLDERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SUBCONTRACTORS, DISTRIBUTORS, SUCCESSORS, AND ASSIGNS) BE LIABLE TO YOU OR ANY OTHER PERSON UNDER OR IN CONNECTION WITH THESE TERMS OR ITS SUBJECT MATTER, UNDER ANY LEGAL OR EQUITABLE THEORY (INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE), EXCEED THE GREATER OF $500.00 OR THE FEES ACTUALLY PAID BY YOU TO RESCUE ID IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE EVENT GIVING RISE TO SUCH CLAIM(S) OR CAUSE(S) OF ACTION.
THE FOREGOING LIMITATIONS IN THE TWO ABOVE PARAGRAPHS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW; AND SHALL APPLY REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES, WHETHER SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED UPON OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.
Some states do not allow the exclusion or limitation of liabilities; therefore, some of the exclusions or limitations herein may not apply to you and you may have additional rights under applicable law.
All matters, including any controversy or other dispute, relating to our Services or these Terms is governed by the laws of the United States and the State of Kansas without regard to its conflicts of laws provisions.
In the event of a dispute between us and you or your Account Members, the parties shall attempt, promptly and in good faith, to resolve any such dispute informally. If unable to resolve such dispute within 30 days, the parties shall attempt to resolve such dispute via mediation (conducted virtually or in-person in Johnson County, Kansas). If the dispute cannot be resolved through mediation, the parties may elect to resolve such dispute by: binding individual arbitration under the Federal Arbitration Act (in which the arbitration body, the location, the rules, and the payment of fees shall be agreed upon in good faith in advance); or pursuing any right or remedy available to them under applicable law. You agree to the personal jurisdiction by and venue in the State and Federal courts in Johnson County, Kansas, and waive any objection to such jurisdiction or venue.
No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND RESCUE ID AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND RESCUE ID EACH WAIVE ANY RIGHT TO A JURY TRIAL.
We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of our Services following the posting of changes to these Terms means you accept and agree to the changes.
Force Majeure: We are not liable for any failure or delay in our performance due to any cause beyond our reasonable control, including acts of God, explosions, pandemics or public health emergencies, cyberattacks, government actions (such as embargoes or sanctions), failure of utilities or telecommunication services, mechanical breakdowns, labor disputes (such as labor strikes), or another similar occurrence, provided that we use reasonable efforts to minimize the effect thereof on our performance.
Independent Contractor: The relationship between us and you is that of an independent contractor. Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither you nor us shall have authority to bind the other in any manner. We are also not a medical provider or caregiver to you or your Account Members, and neither these Terms nor your or their use of our Services creates such a relationship.
Entire Agreement: These Terms set forth the entire, final, complete, and exclusive expression of the agreement on the matters contained herein, and any and all other written or oral agreements or understandings between you and us are superseded and cancelled (except for the Privacy Notice). We do not accept any counteroffers to these Terms, and all such offers are categorically rejected. No course of conduct between us and you or any other party shall be deemed to modify any provision of these Terms of Service.
Construction and Interpretation: Headings in these Terms are for reference purposes only. The word “or” is not exclusive but means “and/or”. The word “including” and any other forms of “include” is not exclusive but means “without limitation”. References to “the Services” includes any portion thereof (including any content or other information found on the Services and any information technology underlying or supporting the Services). The rights and remedies in these Terms are not exclusive of, but are cumulative to, any other rights or remedies, except where these Terms specifies that a particular remedy is sole or exclusive. No single or partial exercise of a right or remedy with respect to one breach precludes the simultaneous or subsequent exercise of any other right or remedy for the same or a different breach. Except as otherwise set forth in these Terms, no failure or delay in exercising any right or remedy shall operate as a waiver thereof. If any provision of these Terms is held invalid or unenforceable in any jurisdiction, it shall be revised to the extent necessary to cure the invalidity or unenforceability, and such invalidity or unenforceability does not affect any other term or provision or invalidate or render unenforceable such provision in any other jurisdiction. These Terms shall not be interpreted or construed to confer any rights or remedies on any third parties. No waiver by RESCUE ID of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the Manager of RESCUE ID.
Assignment: We may transfer or assign these Terms to any other person or entity of our choosing, including to a successor of all or substantially all of our relevant assets.
Further Assurances: Upon our request, you shall execute any documents and take further action necessary to give full effect to these Terms or any provisions thereof.
